These Terms and Conditions ("Terms") govern the relationship between Goodfellow Systems ("we", "us", "our") and any clinic, business, or individual ("Client", "you") that engages our patient acquisition services.
By booking a discovery call, signing a service agreement, or otherwise engaging Goodfellow Systems, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you should not engage our services.
Goodfellow Systems operates as a specialist patient acquisition agency serving hair restoration clinics, including hair transplant clinics (FUE & FUT), scalp micropigmentation (SMP) clinics, and platelet-rich plasma (PRP) hair treatment clinics.
Goodfellow Systems provides structured patient acquisition services under one of the following branded frameworks, depending on your clinic type:
All services are delivered across the same five-pillar framework: High-Intent Patient Acquisition, Intelligent Pre-Qualification, Structured Follow-Up Infrastructure, Transparent Performance Tracking, and the Consultation Conversion Framework.
The specific scope, deliverables, timelines, and performance benchmarks for each engagement are set out in the individual service agreement issued to each client prior to commencement.
We reserve the right to adjust our service offering at any time. Any material changes to an active engagement will be communicated in writing with reasonable notice.
Engagements are initiated following a discovery call and mutual agreement of terms. A formal service agreement will be issued outlining the scope, fees, payment schedule, and duration of the pilot period.
Fees are payable in accordance with the payment schedule set out in your service agreement. Late payment may result in pausing of services until outstanding amounts are settled.
All fees quoted are exclusive of VAT (where applicable). Clients are responsible for their own advertising spend, which is paid directly to the relevant advertising platforms and is separate from Goodfellow Systems' management fees.
A minimum advertising budget of £50 per day is required to generate sufficient data for effective optimisation. We may decline to continue services if this threshold is not maintained.
Where a written performance commitment is included in your service agreement, it applies only within the scope and conditions defined therein. Performance benchmarks are typically assessed across a 90-day pilot period.
Performance commitments are conditional on the client maintaining agreed advertising budgets, providing timely responses to enquiries, and adhering to the agreed consultation capacity and qualification process.
We do not guarantee specific revenue outcomes or procedure volumes. Our commitment relates to qualified consultation enquiry metrics as defined in your individual agreement.

Failure to meet these obligations may impact system performance. In such cases, performance commitments may be suspended until obligations are fulfilled.
Goodfellow Systems operates on a geographic exclusivity basis. We do not partner with direct competitors targeting the same primary patient catchment area for the same treatment type.
The geographic exclusivity zone applicable to your clinic will be defined in your service agreement. Exclusivity applies per treatment category (e.g. hair transplant, SMP, PRP) and does not necessarily cover all three categories.
Exclusivity is contingent on the client maintaining an active and paid engagement with Goodfellow Systems. It does not apply during any suspension, lapse, or termination of services.
All frameworks, methodologies, system names, campaign structures, copy, automation sequences, and documentation produced by Goodfellow Systems remain the intellectual property of Goodfellow Systems.
Upon full payment of fees, clients receive a non-exclusive licence to use any deliverables created specifically for their clinic, solely for the purposes of their own patient acquisition.
Clients may not reproduce, resell, sub-licence, or share proprietary materials with third parties without prior written consent from Goodfellow Systems.
Both parties agree to keep confidential any sensitive business information shared during the engagement, including but not limited to campaign performance data, pricing, patient qualification criteria, and commercial terms.
This obligation survives the termination of any service agreement and remains in force for a period of two years thereafter.
Goodfellow Systems' total liability to any client in connection with any service agreement shall not exceed the total fees paid by that client in the three months immediately preceding the event giving rise to the claim.
We are not liable for any indirect, consequential, or special losses, including loss of revenue, loss of profit, or loss of anticipated savings, even if advised of the possibility of such losses.
Nothing in these Terms limits or excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.
Either party may terminate a service engagement in accordance with the notice provisions set out in the individual service agreement. Standard notice periods are detailed therein.
We reserve the right to terminate an engagement immediately in the event of non-payment, material breach of these Terms, or conduct that we reasonably consider harmful to our business or reputation.
Upon termination, any outstanding fees for services rendered remain payable. Exclusivity protections cease immediately upon termination.
These Terms and any service agreements entered into with Goodfellow Systems are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
